Terms of Service

Tycoon is an AI-powered company operations platform built by HeyMall, Inc. (also known as Tycoon), a Delaware corporation. The platform provides an AI CEO agent, supported by a team of AI agents that handle marketing, sales, growth, finance, product, and operations work on your behalf.

These Terms of Service (“Terms”) govern your access to and use of Tycoon, including our website, web application, API, and any related services (collectively, the “Service”). By creating an account or using the Service in any way, you agree to these Terms in full. If you don’t agree, don’t use the Service.

You must be at least 18 years old to use Tycoon. If you’re using Tycoon on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and the word “you” refers to both you and that entity.

You may not use the Service if you are located in a country subject to a U.S. government embargo or if you are on any U.S. government prohibited-parties list.

You must provide accurate information when creating your account and keep it up to date. You’re responsible for everything that happens under your account — including activity by anyone you share access with. If you suspect unauthorized access, notify us immediately at support@tycoon.us.

We may suspend or terminate your account if we have reason to believe your account has been compromised or is being used in a way that violates these Terms.

You may use Tycoon to legitimately operate and grow your business. You may not:

• Use the Service to generate content that is fraudulent, deceptive, defamatory, or illegal
• Use the Service to develop, train, or improve a substantially similar AI company-operations platform, or any product whose core value proposition is competitive with Tycoon
• Attempt to extract, reverse-engineer, or reproduce our AI models, agent logic, or proprietary systems
• Scrape, crawl, or otherwise collect data from the Service in an automated way without authorization
• Circumvent, disable, or otherwise interfere with any security or access control features
• Misrepresent the output of Tycoon’s AI agents as having been produced by humans, in any context where that distinction matters
• Use the Service to send spam, run influence operations, or generate mass synthetic content intended to mislead
• Share a single account across multiple organizations without an appropriate enterprise license

We reserve the right to investigate suspected violations and take appropriate action, including limiting or terminating access without notice.

The AI CEO and the other AI agents on the Tycoon platform are powerful tools, but they are not perfect. Outputs may be incorrect, incomplete, outdated, or inappropriate for your specific situation. Nothing Tycoon produces constitutes legal, financial, tax, medical, or professional advice.

You are the operator and decision-maker. You are fully responsible for reviewing AI-generated content before acting on it — including anything sent to third parties on your behalf, published publicly, or used to make business decisions. Tycoon provides execution capabilities as a tool, not as a fiduciary or advisor.

Tycoon is an autonomous AI agent platform. The AI CEO and the other AI agents on the platform are designed to take real actions on your behalf — including, for example, sending emails and messages, making purchases, calling third-party APIs, publishing content, creating and editing documents, spending advertising or operational budgets you authorize, managing integrations you connect, and interacting with third-party services and counterparties.

Your authorization. By using the Service and, in particular, by connecting any third-party integration, API key, credential, payment method, or budget to the Service, you expressly authorize Tycoon and its AI agents to perform actions on your behalf, within the scope of the goals, instructions, and authorizations you provide, to the same extent and with the same legal effect as if you had taken those actions yourself.

Your responsibility. You are solely responsible for all actions taken by AI agents under your account, and for all resulting fees, charges, costs, obligations, and consequences — including, without limitation, third-party service fees, API and model usage costs, token consumption, advertising and media spend, transaction and processing fees, taxes, shipping, subscriptions you instruct an agent to purchase, and any liability to third parties arising from agent communications or actions. You agree that agent actions taken under your account are legally binding on you to the extent permitted by law.

Revocation. You may revoke agent authorization at any time by disconnecting the relevant integration, rotating your credentials, or disabling the relevant agents through account settings. Revocation is prospective only — it does not reverse, undo, or retroactively un-authorize actions that were already completed before revocation took effect.

You must supervise. You are expected to set appropriate goals, guardrails, and budgets, and to monitor agent activity. We do not provide, and are not responsible for, fiduciary oversight of agent decisions or autonomous spending.

Access to Tycoon is offered through paid subscriptions, usage-based fees, add-ons, overages, and pass-through costs, or a combination thereof. The specific fees that apply to your plan — including subscription price, included allowances, overage rates, and any usage-based or pass-through charges (such as AI model token usage, third-party API calls, advertising spend, infrastructure, or transaction fees) — are disclosed in your account settings, order form, or invoice. Unless otherwise stated, all amounts are in USD.

Automatic renewal. Your subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current rate and plan terms, until you cancel. You may cancel at any time through your account settings or by contacting support@tycoon.us; cancellation takes effect at the end of your current billing period. By subscribing, you acknowledge that you have been clearly informed of the automatic-renewal terms and that you authorize us to charge your payment method on a recurring basis.

Cancellation and no refunds. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period. All fees are non-refundable. Without limiting the foregoing, we do not provide refunds or credits for: partial billing periods; unused subscription time; unused usage allowances or token balances; AI model token consumption or API calls already processed; pass-through costs, third-party fees, or advertising spend already incurred; or any other charges, regardless of the reason for cancellation — including dissatisfaction with the Service. Once credits, tokens, or usage-based resources have been consumed or allocated, they are deemed fully used and are non-refundable under any circumstances.

Price changes.We will give you at least 30 days’ notice of any pricing change that affects your plan. Continued use of the Service after the new pricing takes effect constitutes acceptance.

Failed payments. If a payment fails, we may limit or suspend your access to the Service until the outstanding balance is resolved. We may attempt to re-charge your payment method a reasonable number of times before suspending your account.

Taxes. All fees are exclusive of taxes, duties, levies, VAT/GST, withholding, and similar governmental charges. You are responsible for all such amounts, except for taxes based on our net income.

“Your Content” means anything you submit to or generate through the Service: company descriptions, goals, messages, uploaded files, task instructions, feedback, and any other materials. You retain ownership of the original materials you provide.

By using the Service, you grant HeyMall, Inc. (also known as Tycoon) a non-exclusive, worldwide, royalty-free, sublicensable, transferable, irrevocable, and perpetual license to use, host, store, reproduce, modify, create derivative works from, communicate, publish, publicly display, and distribute Your Content for any purpose related to operating, providing, improving, developing, and promoting the Service and our business — including, without limitation, training, fine-tuning, and evaluating machine learning models; developing new products, features, and services; generating aggregated insights and benchmarks; and any other lawful commercial purpose.

Derived data.We may create de-identified, aggregated, anonymized, or derived data from Your Content or your use of the Service (“Derived Data”). Derived Data is not Your Content. We own all Derived Data and may use it without restriction for any lawful purpose, including commercial purposes, without obligation to you. This right survives termination of your account.

AI-generated output.To the extent permitted by applicable law, output generated by the Service in response to Your Content (“Output”) is provided to you for your use subject to these Terms. You acknowledge that similar or identical Output may be generated for other users. We retain all rights in the models, algorithms, and systems that produce such Output.

You represent that you have all necessary rights to submit Your Content and that it does not violate any third-party intellectual property rights, privacy rights, or applicable law. You are solely responsible for the accuracy, quality, and legality of Your Content.

We aim to keep the Service available 24/7, but we do not guarantee uninterrupted access. We may suspend or restrict access to any part of the Service at any time — for maintenance, security updates, capacity management, or any other operational reason — with or without advance notice.

We will use commercially reasonable efforts to notify you in advance of planned downtime that may materially affect your use of the Service. We are not liable for any loss or damage resulting from temporary unavailability.

Tycoon, the AI CEO, the underlying AI models, the platform design, and all associated software and content created by us are owned by HeyMall, Inc. (also known as Tycoon) or our licensors. Nothing in these Terms gives you a right to use our name, logos, trademarks, or other brand elements without our prior written permission.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your own internal business purposes, subject to these Terms. This license ends when your account is terminated.

Trademarks.“Tycoon,” the Tycoon logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HeyMall, Inc. (also known as Tycoon) or its affiliates. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

Tycoon integrates with third-party services (payment processors, AI model providers, cloud infrastructure, and others). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the practices of third-party services.

In particular, AI responses are generated using large language model APIs operated by third parties (including Anthropic and others). The outputs from those models are subject to their respective usage policies in addition to ours.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, HEYMALL, INC. (ALSO KNOWN AS TYCOON) AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, NEITHER HEYMALL, INC. (ALSO KNOWN AS TYCOON) NOR ANY PERSON ASSOCIATED WITH HEYMALL, INC. (ALSO KNOWN AS TYCOON) MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO: (A) THE QUALITY, ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED OUTPUT; (B) THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THAT ANY RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) THAT ANY ACTIONS TAKEN BY AI AGENTS WILL ACHIEVE YOUR INTENDED RESULTS; OR (E) THAT DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF AND RELIANCE ON THE SERVICE AND ITS OUTPUTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HEYMALL, INC. (ALSO KNOWN AS TYCOON), ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER — INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, BUSINESS OPPORTUNITY, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HEYMALL, INC. (ALSO KNOWN AS TYCOON) HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, HEYMALL, INC. (ALSO KNOWN AS TYCOON) WILL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM: (A) ACTIONS TAKEN BY AI AGENTS ON YOUR BEHALF OR UNDER YOUR ACCOUNT; (B) ANY THIRD-PARTY FEES, CHARGES, OR OBLIGATIONS INCURRED AS A RESULT OF AGENT ACTIVITY; (C) DECISIONS YOU MAKE BASED ON AI-GENERATED OUTPUT; (D) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR CONNECTED INTEGRATIONS; OR (E) INTERRUPTIONS, DELAYS, OR ERRORS IN THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE LESSER OF (A) THE AMOUNTS YOU ACTUALLY PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless HeyMall, Inc. (also known as Tycoon)and its affiliates, and each of their respective officers, directors, employees, agents, licensors, service providers, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, actions, demands, damages, losses, costs, liabilities, and expenses (including but not limited to reasonable attorneys’ fees, expert fees, and court costs) arising out of or relating to:

• your access to or use of the Service, including any actions taken by AI agents under your account;
• Your Content or any data you provide to the Service;
• actions taken by AI agents on your behalf, including communications sent to or transactions with third parties;
• your violation of these Terms or any applicable law or regulation;
• your violation or infringement of any third-party right, including intellectual property, privacy, or publicity rights;
• any dispute between you and a third party arising from agent activity or AI-generated output; or
• your negligence or willful misconduct.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims. This indemnification obligation survives termination of these Terms.

You may stop using the Service and close your account at any time by contacting us or using the account settings.

We may suspend, limit, or terminate your access at any time, for any reason or no reason, with or without notice — including but not limited to breach of these Terms, suspected fraud or abuse, legal requirements, non-payment, or discontinuation of the Service. We are not obligated to provide a reason for any suspension or termination.

On termination, your license to use the Service ends immediately. You remain responsible for all fees incurred before termination, including any outstanding usage-based or pass-through charges. The following provisions survive termination: Sections 5 (AI Output), 6 (Agent Authorization), 7 (Fees — as to amounts owed), 8 (Your Content and License Grant), 10 (Our IP), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 17 (Governing Law), and this Section 15 — as well as any other provisions that by their nature should survive.

We may update these Terms from time to time. If we make material changes, we will notify you by email or via an in-product notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you don’t agree, you must stop using the Service before the changes take effect.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. You and Tycoon agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Delaware for resolution of any dispute.

Jury trial waiver: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TYCOON EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Class action waiver: You agree to resolve disputes with us only on an individual basis, and not as part of any class, collective, or representative action.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HeyMall, Inc. (also known as Tycoon) regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent. We may assign our rights and obligations to any affiliate or successor.
